3. Intellectual Property Rights

A. Client Work & Deliverables

Upon receipt of full and final payment for the agreed project milestones, the client receives ownership of the specific custom code, design assets, and tailored deliverables created exclusively for their business under the applicable Statement of Work[cite: 1, 2].

B. Pre-existing Code & Proprietary Technology

Pybritech Technologies Pvt. Ltd. retains all rights, title, and intellectual property in pre-existing software libraries, reusable code frameworks, AI integration scripts, developer toolkits, algorithms, and technical methodologies utilized during the project. Clients are granted a non-exclusive, perpetual, royalty-free license to use such embedded tools solely as part of the delivered software.

C. Website Content & Branding

4. Client Obligations & Responsibilities

To ensure timely execution and project quality, clients agree to:

5. Payment Terms, Milestone Billing, & Taxes

• Late Payments: Delays in payment may result in temporary suspension of development activities, cloud resource deployment, or delayed delivery schedules.
• Taxes: All fees quoted are subject to applicable statutory taxes (such as Indian GST) unless explicitly stated otherwise.

6. Third-Party Services & Infrastructure

Our custom software, AI automation, and cloud solutions may integrate with third-party platforms, APIs, hosting providers (e.g., AWS, Firebase, OpenAI, WhatsApp API, cloud server providers). Pybritech Technologies Pvt. Ltd. is not responsible for service outages, rate changes, API deprecations, policy updates, or performance issues caused by independent third-party vendors.

7. Confidentiality & Non-Disclosure

Both Pybritech Technologies Pvt. Ltd. and the client agree to maintain strict confidentiality regarding all non-public technical, business, financial, and strategic information shared during the engagement. Neither party shall disclose confidential information to any third party without prior written consent, except as required by law.

8. Warranties, Support, & Maintenance

9. Limitation of Liability
